TERMS AND CONDITIONS OF SALE AND SERVICES<\/strong><\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 1 \u2013 Identification of the Service Provider<\/span><\/p><p Loul\u00e9<\/p><p class=\"p3\">Hereinafter referred to as the \u201cService Provider.\u201d<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 2 \u2013 Purpose<\/span><\/p><p class=\"p3\">These General Terms and Conditions are intended to define the terms under which the Service Provider provides project management and personalized support services to private individuals.<\/p><p class=\"p3\">Such services may include, but are not limited to:<\/p><ul><li class=\"p3\">Project coordination and monitoring;<\/li><li class=\"p3\">Research and referral to local service providers;<\/li><li class=\"p3\">Administrative assistance;<\/li><li class=\"p3\">Organization and planning;<\/li><li class=\"p3\">Support with procedures related to a personal or real estate project;<\/li><li class=\"p3\">Personalized advice and follow-up.<\/li><\/ul><p class=\"p3\">This list is not exhaustive.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 3 \u2013 Quotations and Orders<\/span><\/p><p class=\"p3\">Any service shall be subject to a quotation or commercial proposal specifying:<\/p><ul><li class=\"p3\">The nature of the assignment;<\/li><li class=\"p3\">The services included;<\/li><li class=\"p3\">The estimated timelines;<\/li><li class=\"p3\">The applicable fees.<\/li><\/ul><p class=\"p3\">The order becomes final upon the Client\u2019s written acceptance of the quotation.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 4 \u2013 Fees and Payment<\/span><\/p><p class=\"p3\">Fees are stated in euros (\u20ac).<\/p><p class=\"p3\">Unless otherwise specified in the quotation:<\/p><ul><li class=\"p3\">A deposit of 50% may be required before the commencement of the assignment;<\/li><li class=\"p3\">The remaining balance is payable upon receipt of the invoice;<\/li><li class=\"p3\">Payments must be made within a maximum period of 15 days.<\/li><\/ul><p class=\"p3\">Any late payment may result in the suspension of ongoing services.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 5 \u2013 Obligations of the Service Provider<\/span><\/p><p class=\"p3\">The Service Provider undertakes to use all reasonable efforts to carry out the assigned mission.<\/p><p class=\"p3\">The services are subject to an obligation of means rather than an obligation of results.<\/p><p class=\"p3\">The Service Provider cannot guarantee the granting of administrative authorizations, financing, or the performance of third-party service providers.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 6 \u2013 Obligations of the Client<\/span><\/p><p class=\"p3\">The Client agrees to:<\/p><ul><li class=\"p3\">Provide accurate and complete information;<\/li><li class=\"p3\">Respond within a reasonable time to requests from the Service Provider;<\/li><li class=\"p3\">Comply with payment deadlines;<\/li><li class=\"p3\">Actively cooperate in the execution of the project.<\/li><\/ul><p class=\"p3\">The Client remains solely responsible for decisions made in connection with their project.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 7 \u2013 Third-Party Service Providers<\/span><\/p><p class=\"p3\">The Service Provider may recommend or introduce the Client to independent professionals.<\/p><p class=\"p3\">Any contracts entered into between the Client and such service providers are concluded directly between those parties.<\/p><p class=\"p3\">The Service Provider shall not be held liable for:<\/p><ul><li class=\"p3\">The quality of services provided by such third parties;<\/li><li class=\"p3\">Their delivery times;<\/li><li class=\"p3\">Their fees;<\/li><li class=\"p3\">Any disputes arising in relation to them.<\/li><\/ul><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 8 \u2013 Cancellation and Termination<\/span><\/p><p class=\"p3\">The Client may cancel a service before its commencement.<\/p><p class=\"p3\">Any services already performed shall remain payable.<\/p><p class=\"p3\">In the event of early termination by the Client, amounts corresponding to work performed up to the<\/p><p class=\"p3\">date of termination shall remain due and payable.<\/p><p class=\"p3\">The Service Provider may also terminate the assignment in the event of:<\/p><ul><li class=\"p3\">Non-payment;<\/li><li class=\"p3\">A serious breach of the Client\u2019s obligations;<\/li><li class=\"p3\">Impossibility of continuing the assignment under normal conditions.<\/li><\/ul><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 9 \u2013 Liability<\/span><\/p><p class=\"p3\">The Service Provider shall not be liable for indirect damages such as:<\/p><ul><li class=\"p3\">Loss of income;<\/li><li class=\"p3\">Loss of opportunity;<\/li><li class=\"p3\">Delays attributable to third parties;<\/li><li class=\"p3\">Events of force majeure.<\/li><\/ul><p class=\"p3\">The Service Provider\u2019s liability shall be limited to the total amount of fees actually received for the relevant assignment.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 10 \u2013 Personal Data Protection<\/span><\/p><p class=\"p3\">Personal data collected is used exclusively for:<\/p><ul><li class=\"p3\">Managing the client relationship;<\/li><li class=\"p3\">Performing the services;<\/li><li class=\"p3\">Complying with legal and accounting obligations.<\/li><\/ul><p class=\"p3\">Processing is carried out in accordance with the General Data Protection Regulation (GDPR).<\/p><p class=\"p3\">The Client has the right to access, rectify, erase, and object to the processing of their personal data.<\/p><p class=\"p3\">Any request may be sent to the Service Provider\u2019s email address.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 11 \u2013 Intellectual Property<\/span><\/p><p class=\"p3\">All content available on the Charlotte Be My Guest website (texts, images, logos, documents, graphic elements) is protected by intellectual property laws.<\/p><p class=\"p3\">Any reproduction or use without prior written authorization is prohibited.<\/p><p class=\"p2\"><span style=\"text-decoration: underline;\">Article 12 \u2013 Force Majeure<\/span><\/p><p class=\"p3\">Neither party shall be held liable for the non-performance of its obligations in the event of force majeure as defined by the applicable legislation.<\/p><p
